1. Acceptance of Terms

By creating an account or using ZYXmon (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms take effect upon registration or first use.

2. Service Description

ZYXmon is a portfolio tracking and analysis tool that provides algorithmic insights, technical indicators, dividend analysis, and fair value estimates for informational and educational purposes only. ZYXmon is not a financial advisor, broker, or regulated financial entity. Nothing on this platform constitutes financial advice, investment advice, or any professional recommendation.

3. Eligibility

You must be at least 18 years old to use the Service. By using ZYXmon, you represent that you meet this age requirement and have the legal capacity to enter into these terms.

4. Account Registration

Account creation requires Google OAuth authentication and, during the beta period, a valid invite code. You are responsible for maintaining the security of your account. Each person may create only one account. You must not share your account credentials or invite codes with unauthorized parties.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Scrape, crawl, or automatically extract data from the Service.
  • Redistribute, resell, or commercially exploit data or analysis provided by the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools (bots, scripts) to access the Service beyond the provided API.

6. Intellectual Property

The Service, including its design, code, algorithms, analysis models, and content (excluding user data), is the property of ZYXmon and its contributors. You may not copy, modify, distribute, or create derivative works based on the Service without explicit written permission.

7. Your Data

You retain full ownership of any data you enter into the Service (positions, transactions, notes, theses). ZYXmon does not claim any intellectual property rights over your data. See our Privacy Policy for details on how your data is stored, encrypted, and protected.

8. AI and Algorithmic Content

Parts of the analysis, insights, and content displayed on ZYXmon are generated by algorithms and artificial intelligence models. This content is produced automatically and has not been reviewed by a qualified financial professional. AI-generated content may contain errors, outdated information, or inaccurate analysis. It should be treated as a starting point for your own research, not as a definitive assessment.

In compliance with the EU AI Act, AI-generated content within the Service is labeled as such.

9. Third-Party Data

Market data, financial metrics, and exchange rates are sourced from multiple third-party data providers. This data is provided “as is” without warranty of accuracy, completeness, or timeliness. ZYXmon is not responsible for errors or omissions in third-party data.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ZYXmon and its contributors shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to investment losses, data inaccuracy, service interruptions, or reliance on any information provided by the Service.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied.

11. Indemnification

You agree that all investment decisions are made at your own risk and discretion. You shall not hold ZYXmon, its contributors, or its data providers responsible for any investment outcomes. You are solely responsible for consulting qualified professionals before making financial decisions.

12. Service Availability

ZYXmon is currently in beta. We do not guarantee uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued at any time without prior notice. We reserve the right to add, remove, or change features during the beta period and beyond.

13. Account Termination

You may delete your account and all associated data at any time through the Settings page or by contacting us at legal@zyxmon.com. We may suspend or terminate accounts that violate these terms, engage in abusive behavior, or are inactive for more than 24 months (after email notification).

14. Modification of Terms

We may update these terms from time to time. Material changes will be communicated to registered users via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

15. Governing Law

These terms are governed by the laws of Spain. Any disputes arising from or related to these terms or the Service shall be subject to the jurisdiction of the courts of Madrid, Spain.

16. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

ZYXmon Algorithmic Research — Specific Clauses (MAR / MiFID II)

These clauses A-G complement the general terms above and govern, specifically, the algorithmic-research output published by ZYXmon under the EU Market Abuse Regulation (MAR) investment-recommendation regime. See also our MAR disclosure and methodology page.

Clause A — Nature of the service

ZYXmon provides algorithmic equity research published under the EU Market Abuse Regulation (Regulation (EU) 596/2014, “MAR”) investment-recommendation regime as developed by Commission Delegated Regulation (EU) 2016/958. ZYXmon does NOT provide MiFID II investment advice, portfolio management, order reception or transmission, or any other regulated investment service. ACME, the operator of ZYXmon, is not authorised by the CNMV (Spain) or by any other EU national competent authority as an investment firm (ESI) or as a financial advisory firm (EAF).

Clause B — User responsibility / no advice

Any investment decision is the User's sole responsibility. The User acknowledges that algorithmic classifications, scores, fair-value estimates, dividend-safety ratings, narratives and price ranges produced by ZYXmon: (a) are descriptive statistical observations, not directive buy/sell/hold instructions; (b) do not consider the User's personal circumstances, objectives, knowledge, experience or financial capacity; (c) may contain errors, biases, or be based on outdated or incomplete data; and (d) are not a substitute for personalised advice from a CNMV-authorised investment advisor.

Clause C — Limitation of liability

To the maximum extent permitted by applicable Spanish law, ACME's aggregate liability for any loss arising from the User's reliance on ZYXmon's algorithmic output is limited to the fees actually paid by the User to ACME SL in the twelve (12) months preceding the event giving rise to the claim, with a hard cap of five hundred euros (€500). This clause does not exclude liability for fraud, wilful misconduct, or any liability that may not be excluded under Spanish consumer-protection law (notably under Real Decreto Legislativo 1/2007 and Ley 7/1998 on general contract terms).

Clause D — Conflict-of-interest acknowledgement

The User acknowledges having read the Conflicts of Interest Policy and understands that members of the ACME team may personally hold positions in instruments covered by the algorithmic research published on the platform. Any aggregate team holding exceeding 0.5% of the issuer's share capital is disclosed explicitly alongside the recommendation, per Commission Delegated Regulation (EU) 2016/958, Article 6(1). ACME does not receive any commission from brokers, issuers or third parties in connection with the algorithmic output.

Clause E — Data source attribution

ZYXmon's algorithmic output incorporates information sourced from third-party financial data providers (market data, fundamentals, dividend history, analyst consensus, central-bank FX feeds and similar). Errors, delays, omissions or inaccuracies in third-party data may affect the algorithmic output. ACME makes no warranty as to the accuracy, completeness or timeliness of any third-party data and is not liable for losses arising from such third-party data defects.

Clause F — Audit log retention

ACME retains records of disseminated algorithmic recommendations and their supporting inputs for a minimum of five (5) years from the date of dissemination, in line with the record-keeping obligations of MAR Article 22 and MiFID II Article 16(7) as transposed in Spain. These records contain no personal data about the User. ACME also reserves the right to update the algorithmic methodology at any time; material changes are logged with a date stamp in the methodology page changelog.

Clause G — GDPR data-subject rights

Personal data the User provides (account, portfolio, investment-profile preferences) is processed in accordance with the General Data Protection Regulation (Regulation (EU) 2016/679, “GDPR”) and the Spanish LOPDGDD (Ley Orgánica 3/2018). The User may, at any time, exercise the rights of access, rectification, erasure, restriction, portability and objection, as well as the right to lodge a complaint with the Spanish Data Protection Authority (AEPD, www.aepd.es) or with the competent supervisory authority of the User's EU member state of residence. Full detail is set out in the Privacy Policy.

Clause H — Synthesis layer: research / educational only, opt-in

The “Algorithmic Synthesis Layer” (also referred to as “synthesis verdict”) is an OPTIONAL feature that the User must explicitly activate from the Settings panel. Activation requires the User to (i) read this clause, the synthesis methodology page, the disclaimer and the conflicts-of-interest policy, (ii) tick the consent checkbox in Settings, and (iii) press the activation button. Each of these steps constitutes signed acknowledgement of this clause.

The User acknowledges that the synthesis-layer output (a qualitative zone label per instrument, optionally accompanied by a historical price band) is purely OBSERVATIONAL and is produced as a RESEARCH / EDUCATIONAL tool. ACME provides infrastructure plus deterministic algorithmic synthesis; it does NOT provide MiFID II investment advice nor any other regulated investment service. The output does not consider the User's personal circumstances, objectives, or capacity, and the User retains full responsibility for any investment decision.

ACME records the User's consent (timestamp + hashed IP + Terms and methodology versions acknowledged) in an append-only audit ledger, retained for five (5) years in line with MAR Article 22 and MiFID II Article 16(7). The User may deactivate the layer at any time from Settings; the deactivation event is also recorded in the audit ledger. Material changes to the synthesis methodology bump the version identifier and force re-acknowledgement before the layer is displayed again.
